Some of the most complex projects our team has tackled have been in the field of energy and natural resources law, combining knowledge of national law with European and international law. Our expertise includes assisting and representing both central public authorities and private companies in connection with the issuance of regulatory acts in complex projects, structuring investment projects in the field of energy and exploitation of natural resources, authorizing foreign investments in this field, drafting legal opinions on controversial aspects of national and EU legislation specific to this sector, drafting proposals for amending the existing legislative framework.

  • Legal assistance and representation in relation to sector-specific legal and regulatory issues in the energy and natural resources sector – electricity, including renewable energy, oil, gas, etc;
  • Legal assistance and representation in connection with obtaining regulatory acts for the development of projects in the field of energy and natural resources;
  • Drafting legal opinions in energy and natural resource exploitation matters, as well as structuring various contracts in this area of law;
  • Advising on various civil law issues such as easements related to the exploitation and transportation of oil, natural gas and electricity;
  • Drafting and negotiating contracts relating to the distribution of natural gas;
  • Legal assistance on specific aspects of incentives available for the use of renewable sources of energy production;
  • Legal assistance on the legal framework of offshore workers and the correlation of national regulations with those of the European Union.
  • Legal assistance and representation of a foreign energy company regarding the compatibility of national legislation with EU energy and labor law in the “offshore” regime;
  • Legal assistance provided to the minority shareholder in the companies proposed to become the founding shareholders of the project company in charge with the implementation of a project aiming to develop a direct current interconnection capacity between Romania and Turkey, through a submarine cable with a length of approximately 400 km in the Black Sea waters, as a project estimated at €583 mil. The main project activities covered (i) opportunity analysis on the shareholding of the project company; (ii) identification of investment risks for the whole project as well as from the perspective of the minority shareholder in the companies proposed to become founding shareholders; (iii) analysis of project’s compliance with the national and European legislation in terms of the electricity market and Competition Law; (iv) preparation of recommendations to overcome the obstacles hindering the project implementation;
  • Legal assistance provided for the mediation between a major energy supply company in the city of Bucharest and an investor in the production of cogeneration energy that intended to build a power plant, as an investment with an estimated €80 mil.;
  • Legal assistance and representation services provided to some Romanian investors in renewable energy, for the amiable settlement of the dispute with the foreign investor and for the take-over of the foreign investor’s participation by another investor;
  • Legal assistance provided to a group of companies belonging to an European leader company in the field of production and sale of electrical energy involved in the development of various renewable solar and wind projects in Romania. Services encompass in-depth due diligence reports on the acquisition of new projects from their original developers, drafting intricate share purchase and development contracts for such projects, as well as contracts governing the design, construction, and grid connection of the solar and wind farms. We also represent the clients in their interactions with grid operators, successfully navigating complex litigation related to grid access. Additionally, we skilfully handled multiple and complex legal challenges involving administrative documents, such as building permits, technical grid connection endorsements, and grid connection contract
  • Legal assistance and representation of Fondul Proprietatea, the largest Central and Eastern European Investment Fund, in relation with the companies in which the Fund had participation, mostly in the largest companies in the energy sector in Romania;
  • Legal assistance provided to an important Romanian investor in new energy solutions, in complex projects on the co-operation / development of partnerships / acquisitions, in its relationship with foreign investors, by using several law systems applicable for the same transaction;
  • Legal assistance provided for taking-over the majority share package of a biogas energy producer;
  • Legal assistance to a foreign investor concerning the screening and authorization of their foreign direct investment in a Romanian business developing renewable energy storage solutions;
  • Legal assistance and representation in litigation proceedings regarding the implementation in Romania of the provisions of Directive 2003/87/EC of the European Parliament and of the Council of 13 October 2003 establishing a scheme for greenhouse gas emission allowance trading within the Community and amending Council Directive 96/61/EC (the value of the disputed greenhouse gas emission allowances was approximately EUR 40 million);
  • Successful representation of a Romanian company (claimant) against two German companies (respondents), in involving claims amounting to approximately €150 mil. deriving from the enforcement of a works contract for hydro-powerplants;
  • Successful representation of the Romanian State in an ICSID investment arbitration of over $170 mil., in the field of oil & gas.
